Terms & Conditions – GRYND13 / GRYPP

These Terms & Conditions apply to all use of our website, online store, and all agreements entered into with GRYND13, registered with the Dutch Chamber of Commerce, trading under the brand name GRYPP.

Intro

Welcome to GRYPP! The terms “we”, “us” and “our” refer to GRYND13, trading under the brand name GRYPP. GRYND13 operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the “Services”). www.GRYPP.eu is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.

Part I – General Terms (Consumers / Webshop)

1. Who You’re Dealing With

GRYPP is a brand of GRYND13. When you place an order, you are purchasing directly from GRYND13, not from Shopify. Questions or issues? Contact us at info@grynd13.com.

2. Using Our Site

You must be 18 years or older (or have consent from a parent/guardian) to order. You agree to provide accurate information and secure your account. Misuse of your account is your responsibility.

3. Orders

Placing an order constitutes an offer. We confirm acceptance when we process your order. We may cancel or refuse orders at any time. Always double-check your details before completing checkout.

4. Prices & Payment

All prices are in EUR, excluding VAT, shipping and customs duties, unless otherwise stated. The total shown at checkout is binding. We may change prices without prior notice.

5. Shipping & Delivery

We aim to ship quickly, but once handed over to the carrier, the risk passes to you. Delivery times are estimates, not guarantees. Delays caused by customs or couriers are beyond our control.

6. Returns

Consumers have a 14-day right of withdrawal, provided products are unused and unopened. Return shipping costs are at your expense. For hygiene and safety reasons, opened products (such as GRYPP Grip Spray) cannot be returned. Please see our Return Policy for details.

7. Product Information

We aim to represent products accurately, but colors and details may vary depending on your screen. Minor changes to products may occur.

8. Intellectual Property

All content (logos, images, text, etc.) is owned by GRYND13/GRYPP or its partners. Copying, reuse or modification without written permission is prohibited.

9. Reviews & Feedback

By submitting feedback or reviews, you grant us a free, unlimited license to use this content in any format. Do not post illegal, misleading, or offensive material.

10. Liability

We are not liable for indirect damages, lost profits, or delays caused by third parties (carriers, payment providers). Our maximum liability is limited to the amount you paid for the order.

11. Privacy

We respect your privacy. Your data is processed in accordance with our Privacy Policy. Because we use Shopify, some data is also processed by them.

12. Governing Law & Jurisdiction

All agreements are governed by Dutch law. Disputes will be handled by the competent Dutch court.

13. Changes

We may update these Terms & Conditions at any time. The latest version is always available on our website. Significant changes will be communicated.

Part II – B2B Terms (Business Customers)

The following provisions apply in addition to Part I for all transactions with business customers (resellers, distributors, sports clubs, B2B partners).

1. Orders & Minimum Quantities

  1. Business orders are subject to a minimum purchase of one UNIT20 (20 pieces of the same product).

  2. Volume discounts may apply and will be confirmed in writing in advance.

  3. Orders may be paid after delivery. For larger orders, GRYND13 reserves the right to request a 30% advance payment, confirmed in writing.

2. Payment Terms

  1. Unless otherwise agreed in writing, payment is due within 14 days from invoice date.

  2. Upon request, GRYND13 may allow a longer term of up to 30 days, provided this is agreed in writing.

  3. In case of late payment, statutory commercial interest (article 6:119a Dutch Civil Code) will be due, plus reasonable collection costs.

  4. Invoices are issued electronically by default.

3. Delivery & Transfer of Risk

  1. Delivery times are indicative only. Delays do not entitle the customer to compensation or cancellation.

  2. If certain products are temporarily out of stock, GRYND13 may deliver the order in parts (backorders). Any additional shipping costs will be borne by GRYND13, unless otherwise agreed.

  3. The risk of loss, damage, or theft transfers to the customer once the goods are handed over to the carrier.

4. Returns & Complaints

  1. Returns are only accepted for defective or incorrectly delivered products, unless otherwise agreed in writing.

  2. Complaints must be reported in writing within 7 days of receipt. After this period, the delivery is deemed accepted.

  3. Returns are only accepted if pre-approved in writing and returned in accordance with GRYND13’s instructions.

5. Exclusivity & Territory

  1. All deliveries and business relationships are strictly non-exclusive, unless explicitly agreed otherwise in writing.

  2. Customers cannot claim exclusivity based on orders or stock levels.

6. POS Material & Marketing

  1. Any promotional or point-of-sale material provided by GRYND13 (including displays, posters, samples) remains the property of GRYND13, unless otherwise agreed in writing.

  2. Customers must handle such material with care and return it upon request or at the end of the business relationship.

7. Liability & Warranty

  1. GRYND13’s liability is limited to the invoice value of the specific delivery.

  2. GRYND13 is not liable for indirect or consequential damages, including loss of profit.

  3. GRYND13 warrants that products are free from manufacturing defects and meet normal quality standards.

  4. Warranty claims must be submitted in writing within a reasonable time after discovery.

8. Governing Law & Jurisdiction

  1. All agreements are exclusively governed by Dutch law.

  2. Disputes will be submitted exclusively to the competent court in the Netherlands.
